Transactions module

Know what a company owes in sustainability reporting before you invest, lend or buy.

Self-guided, or with advisors at the ready.

For family offices, private equity, lenders and M&A teams. ThemisIQ screens the company for the sustainability reporting rules it faces and shows what meeting them is likely to cost. Companies raising capital, refinancing or preparing to sell can run it on themselves first.

How people arrive here

You are investing
Diligence has reached sustainability and nobody can say what the company owes.
You are lending
Reporting rules affect a borrower's costs over the life of the loan, and your credit committee wants that on the table.
You are acquiring
The obligations come with the company. You would rather know their cost before the price is agreed.
You are the company
Raising capital, refinancing or preparing to sell? Find the obligations yourself before an investor, lender or buyer does.

What the module covers

Threshold testing
Across SB 253, SECR, Canada S-211, CSRD and CS3D, each size test checked on its own. Where a regime has routes the model does not run, or reads one financial year where the law asks for two, the answer says so rather than letting you assume they passed.
Borderline companies
A figure within 10% of a threshold is flagged rather than guessed, and currency is converted at a dated rate that is cited on the answer.
Indicative cost
An indicative cost of meeting what applies, benchmarked against what the equivalent consultant workstreams cost, refreshed rather than quoted. Enter EBITDA to see the cost as a share of it, with the implied EV/EBITDA.
Committee output
A committee pack for investment or credit review, and a pipeline export for a portfolio.

How it works

You bring
Turnover, balance sheet, headcount and where the business operates and sells.
ThemisIQ applies
Each rule's own test, using thresholds kept in one place and updated when the law changes.
You get
A defensible answer on what applies, from when and at what cost, in a pack you can put in front of a committee.

How you stand behind it

Every answer shows you why: which part of the test applied, and the figure that decided it.

Nothing is a black box. Every score carries the inputs and the method that produced it, so a reviewer can follow the reasoning rather than taking the number on trust.

What you get

Transaction screening report
A transaction screening report showing which reporting rules apply, from what year, what meeting them is likely to cost, and that cost as a share of EBITDA, with a committee pack for investment or credit review.

Pricing

Priced by the companies you screen.

Choose a plan for the number of companies you expect to screen in a year. A company counts once, however many transactions or re-runs you save for it. Add modules and the multi-module discount applies to the annual plans: two modules −10%, three or more −20%.

Your first transaction is free, full report included.

Questions people ask first

Do I need an account to screen a company?
You can fill in the screen without an account. Sign in to see the cost estimate and save the transaction. Your first saved transaction is free, full report included. Screening more companies needs the module.
How long does a screen take?
As long as it takes to enter a handful of figures about the company and the transaction: turnover, total assets, headcount, sector, primary jurisdiction and location count for the company, and the deal value and currency for the transaction. The answer comes back from those, so there is nothing to send away and nothing to wait for. What takes longer is finding the figures, and where one is missing the screen names it rather than proceeding without it.
What if the company is close to a threshold?
It is flagged rather than answered. A figure within 10% of its threshold is flagged as borderline, and the framework is marked near-threshold only where that figure is the one deciding the outcome, so a borderline figure that could not change the answer does not raise a false alarm. A figure exactly 10% from its threshold counts as borderline.

A screen also states the parts of a test it did not run, rather than letting you assume they passed. Four it will tell you about:

CS3D scope. It tests the employee and turnover route only, so a company that does not meet those tests is outside that route rather than outside the Directive. It also does not apply the exclusions that remove funds from scope regardless of size.

Two-year lookback. Both CS3D and Canada S-211 read one financial year. CS3D asks for two consecutive years, so a company that crossed once is reported as crossing. Canada S-211 asks for either of the two most recent years, so a company that crossed in the earlier year and dipped is reported as not crossing.

SB 253 measure. California measures gross receipts with no deduction for cost of goods sold. The figure you enter is revenue, which is materially smaller for a distributor.

Currency. Converted at the European Central Bank reference rate for 2026-07-01, cited on the answer rather than applied silently.

What counts as a company?
One unique company per plan year. Re-runs and edits to the same transaction do not count, and neither does a second transaction saved under the same company name. Renaming a transaction within 24 hours of first saving it replaces its company; renaming it after 24 hours counts as a new company. Deleting a transaction does not give its company back.
Can we run this on our own company?
Yes, and it is the same screen. The test does not care whose figures they are, so entering your own gives you the answer a buyer would get before they ask for it. That is the point of running it while you are preparing to sell rather than after somebody else has found something.
Can lenders use it?
Yes. The test turns on the company's figures, not on the type of transaction, so a borrower gets the same answer as an acquisition target.
Does it value the company or set the price?
No. It shows which rules apply and what meeting them is likely to cost. How that is reflected in a price, a loan's terms or the deal documents is a decision for you and your advisers.
Does it cover non-EU companies?
Yes, and the useful part of the answer is where it stops. SB 253, SECR and Canada S-211 are tested wherever the company sits, because their tests turn on figures the screen collects. For CSRD and CS3D a non-EU company is neither cleared nor resolved: both measure turnover generated in the European Union, the screen collects worldwide revenue, and no conversion turns one into the other, so the answer abstains and says which figure it would need. In diligence a false negative is the worse error, because a buyer told a statute does not apply stops looking.
